Australian companies looking to do business overseas are often required to provide information about their company to foreign governments, banks, other lenders or potential investors.
If your company has been required by a foreign entity to provide evidence of its existence in Australia, you may have been asked for the following documents (many of the names below are interchangeable and have similar meanings across different countries)
Certificate of Incorporation:
A Certificate of Incorporation is a document relating to the formation of a company or corporation and it is sometimes called Articles of Incorporation. In Australia, this document is produced by ASIC.
Certificate of Incumbency:
A Certificate of Incumbency is a document identifying a company’s directors, corporate officers and company secretary.
Memorandum & Articles of Association:
A company’s Articles of Association is a document which, along with the memorandum of association (if applicable) refer to a Company’s Constitution. These documents set out the duties and powers of the directors, the relationship between a company’s shareholders and its directors the type of business to be undertaken by the company.
